Brand Terms & Conditions

These Brand Terms & Conditions (“Brand Terms”) govern the relationship between InfluencersPlace (“InfluencersPlace,” “we,” “us,” or “our”) and businesses, advertisers, agencies, organizations, representatives, and other commercial users (“Brand,” “you,” or “your”) that register with InfluencersPlace, use our influencer discovery services, engage creators, or purchase influencer marketing or campaign management services. However, these relationships aren’t just restricted to these explicitly mentioned ones. All the important terms mentioned in any part of this document are also subject to interpretation in the implicit ways up to the extent possible.
In the terms and conditions below, these Brand Terms should be read together with our Terms and Conditions, Privacy Policy, Refund & Cancellation Policy, applicable campaign briefs, proposals, quotations, insertion orders, statements of work, and any other written agreement applicable to a particular campaign.
By registering a Brand account, making a payment, approving a campaign, engaging a Creator through InfluencersPlace, or otherwise using our Brand services, you agree to these Brand Terms.
1. About InfluencersPlace
InfluencersPlace provides services that may include, but aren’t limited to these. Subject to updates from time to time, changes to any of these services can be made. As per the current status, our services include:
- Influencer discovery
- Creator sourcing
- Influencer shortlisting
- Campaign strategy
- Creator outreach
- Negotiations
- Campaign management
- Content coordination
- UGC campaigns
- Social media collaborations
- Paid media amplification
- Campaign reporting
- Creator relationship management
- Brand and creator introductions
- Other influencer marketing services
The exact scope of services for a campaign will be determined by the applicable proposal, campaign brief, quotation, or other written agreement. It is subject to wider scrutiny before delivering benefits guaranteed under a particular service a user has subscribed to.
2. Brand Eligibility and Authority
By registering or purchasing services, you confirm and agree to the following.
- You are legally capable of entering into a binding agreement.
- You are authorized to represent the Brand identified during registration.
- Information supplied by you is accurate and current.
- Your business operates lawfully.
- You have authority to promote the products or services included in a campaign.
- You have authority to approve campaign expenditure and contractual obligations.
If you register or engage InfluencersPlace on behalf of another organization, you confirm that you have authority to bind that organization to the applicable agreement. If you are ever found to have engaged in the furnishing of wrong information, we reserve the right to take penalizing action. The nature of the consequences will be determined by us as per the mere exercise of our discretion under the prevailing conditions.
3. Brand Registration
InfluencersPlace may require Brands to create an account or complete a registration process before receiving certain services.
Registration information may include:
- Brand name
- Business name
- Contact person
- Business email
- Phone number
- Website
- Industry
- Marketing objectives
- Campaign requirements
- Billing details
- Company information
- Other information reasonably required to provide services
Brands must provide accurate information and promptly update material changes. If you fail to update your information through the due procedure provided by us or through establishing a connection with our support team, you will be responsible for all the negative consequences accrued to you by reason of such failure on your part.
4. Brand Registration and Membership Fees
InfluencersPlace may charge a registration, verification, membership, platform access, or other applicable fee. All of these are subject to change as per new developments and how they impact these conditions.
The applicable price and included benefits will be displayed at the time of registration or communicated before payment. You need to be careful and go through all of this information as displayed so that you don’t have to learn about a crucial piece of information later after making the payment.
Unless expressly stated otherwise, payment of a Brand registration or membership fee does not guarantee:
- A particular Creator’s availability;
- Acceptance by a Creator;
- A particular number of collaborations;
- Campaign performance;
- Sales;
- Leads;
- Reach;
- Engagement; or
- Any specific commercial result.
Refunds relating to registration or membership fees are governed by the InfluencersPlace Refund & Cancellation Policy. If you haven’t gone through these policies, make sure that you do so first and thoroughly understand all the key sections in advance, before proceeding to be involved in any of the transactions with our enterprise.
5. Brand Verification
InfluencersPlace may conduct reasonable checks to verify Brands using the platform.
Verification may include reviewing:
- Business website
- Business email
- Company registration
- Product or service information
- Social media accounts
- Billing information
- Identity of an authorized representative
- Other relevant business information
InfluencersPlace may reject, restrict, or suspend Brand access where adequate verification cannot be completed or where material information appears false or misleading. However, if that happens due to default or a problem on your part as the user, you are solely responsible for providing the accurate information. Your account might remain suspended or otherwise under the applicable rules explicitly and implicitly stated under our policies.
6. Campaign Brief
The Brand is responsible for supplying sufficient information for InfluencersPlace and participating Creators to understand the campaign.
A campaign brief may include:
- Campaign objective
- Target audience
- Platforms
- Creator category
- Location
- Creator size
- Number of Creators
- Content formats
- Deliverables
- Key messages
- Product information
- Mandatory talking points
- Prohibited statements
- Hashtags
- Links
- Promo codes
- Disclosure requirements
- Posting dates
- Campaign duration
- Content usage rights
- Paid media requirements
- Exclusivity requirements
- Reporting requirements
- Campaign budget
The Brand should disclose important requirements before Creators are confirmed.
7. Accuracy of Brand Information
Brands must provide accurate, complete, and non-misleading information about their:
- Products
- Services
- Prices
- Offers
- Promotions
- Claims
- Benefits
- Ingredients
- Features
- Availability
- Terms
- Restrictions
- Business
The Brand is responsible for ensuring that information supplied to InfluencersPlace or Creators is legally supportable.
InfluencersPlace and Creators may rely upon information supplied by the Brand when preparing campaign content.
8. Product and Advertising Claims
Brands must not require Creators to make false, misleading, deceptive, unsubstantiated, or unlawful claims.
Where a campaign involves claims relating to matters such as:
- Health
- Nutrition
- Medical benefits
- Cosmetics
- Financial services
- Investments
- Environmental benefits
- Product performance
- Comparative advertising
- Discounts
- Guarantees
- Results
the Brand must ensure that those claims are appropriately substantiated and permitted under applicable law.
InfluencersPlace may reject or request changes to claims that appear misleading, unsupported, inappropriate, or legally problematic.
9. Influencer Selection
InfluencersPlace may recommend Creators based on campaign requirements including:
- Niche
- Audience
- Location
- Followers
- Engagement
- Content quality
- Platform
- Previous collaborations
- Pricing
- Availability
- Brand suitability
Unless expressly agreed otherwise, recommendations do not constitute a guarantee regarding the Creator’s future performance or audience response.
The Brand should review the proposed Creator before confirming participation.
10. Creator Availability
Creator availability may change.
A Creator displayed on InfluencersPlace or included in an initial recommendation may:
- Decline a campaign;
- Be unavailable;
- Change their rates;
- Have scheduling conflicts;
- Become unsuitable for a campaign; or
- Otherwise be unable to participate.
Where necessary, InfluencersPlace may propose an alternative Creator.
11. Creator Confirmation
A Creator should be treated as confirmed only after the required commercial terms and campaign conditions have been agreed.
These may include:
- Creator fee
- Deliverables
- Timeline
- Usage rights
- Exclusivity
- Travel requirements
- Product requirements
- Revision terms
- Payment conditions
- Other campaign-specific requirements
Brands should not assume a Creator has been secured until confirmation is communicated.
12. Campaign Scope
The agreed campaign scope may include services such as:
- Creator research
- Creator outreach
- Negotiation
- Shortlisting
- Campaign planning
- Content coordination
- Content review
- Posting management
- Analytics collection
- Reporting
- Paid amplification
Work outside the agreed scope may require additional fees.
13. Changes to Campaign Scope
The Brand may request changes after a campaign has started.
Material changes may affect:
- Price
- Creator availability
- Timelines
- Deliverables
- Production costs
- Usage rights
- Posting dates
- Campaign management fees
InfluencersPlace may provide revised commercial terms before implementing a material change.
14. Campaign Budget
The Brand is responsible for approving the campaign budget before execution.
A campaign budget may consist of:
- Creator compensation
- InfluencersPlace service fees
- Campaign management fees
- Production costs
- Advertising spend
- Travel
- Product shipping
- Venue expenses
- Technology fees
- Taxes
- Third-party expenses
- Other approved charges
Unless specifically stated otherwise, quoted budgets should not be assumed to include costs that were not disclosed or reasonably anticipated when the quotation was prepared.
15. Creator Compensation
The Brand agrees to fund agreed Creator compensation in accordance with the applicable campaign terms.
Creator compensation may include:
- Fixed fees
- Products
- Services
- Affiliate commissions
- Performance incentives
- Gift vouchers
- Travel
- Accommodation
- Event access
- Barter compensation
- Other agreed benefits
Compensation terms should be confirmed before the Creator begins work.
16. InfluencersPlace Fees
InfluencersPlace may charge fees for services including:
- Campaign management
- Creator sourcing
- Platform access
- Campaign strategy
- Negotiation
- Reporting
- Paid amplification
- Content coordination
- Consulting
- Other professional services
Fees will be communicated through the applicable proposal, quotation, platform, invoice, campaign brief, or other written agreement.
17. Payment Terms
The Brand must make payments according to the applicable invoice or campaign agreement.
InfluencersPlace may require:
- Full advance payment;
- Partial advance payment;
- Milestone payments;
- Campaign deposits;
- Creator fee deposits; or
- Another mutually agreed payment schedule.
InfluencersPlace may delay Creator confirmation, campaign execution, posting, or other work if required payment has not been received.
18. Payment to Creators
Where InfluencersPlace administers Creator payments, the Brand must provide sufficient funds within the agreed timeframe.
Amounts designated for Creator compensation may be used to pay Creators after applicable campaign conditions have been completed.
A Brand must not unreasonably withhold payment after a Creator has substantially completed approved contractual deliverables.
19. Taxes
Unless expressly stated otherwise, applicable taxes may be charged in addition to quoted service amounts.
Brands are responsible for taxes, duties, withholding obligations, GST, or other amounts for which they are legally responsible.
InfluencersPlace may issue invoices and make statutory deductions where required by applicable law.
20. Invoices
Brands should review invoices promptly and notify InfluencersPlace of any apparent discrepancy.
An invoice dispute should identify:
- Invoice number;
- Disputed amount;
- Reason for dispute; and
- Relevant supporting information.
An invoice dispute does not automatically relieve the Brand from paying undisputed amounts.
21. Campaign Cancellation
Brands may request cancellation by contacting InfluencersPlace.
The financial consequences of cancellation depend on the campaign stage and costs already committed.
Amounts may become non-refundable after:
- Strategy work has commenced;
- Creator outreach has begun;
- Creators have been confirmed;
- Creator advances have been paid;
- Content production has started;
- Advertising spend has been committed;
- Third-party costs have been incurred; or
- Other agreed work has been completed.
Cancellation and refund requests are subject to the InfluencersPlace Refund & Cancellation Policy.
22. Cancellation Before Campaign Execution
Where cancellation occurs before work has commenced and before funds have been committed to Creators or third parties, the Brand may be eligible for a full or partial refund depending on the applicable agreement.
Non-recoverable processing or administrative costs may be deducted where applicable.
23. Cancellation After Creator Confirmation
Where the Brand cancels after one or more Creators have been confirmed, the Brand may remain responsible for:
- Creator cancellation fees;
- Creator work already performed;
- Production expenses;
- InfluencersPlace work already completed;
- Non-refundable deposits;
- Third-party expenses;
- Other committed campaign costs.
The amount will depend on the applicable campaign agreement and work completed.
24. Creator Cancellation
A Creator may occasionally be unable to complete a campaign because of illness, emergencies, platform issues, scheduling conflicts, or other circumstances.
Where appropriate, InfluencersPlace may:
- Attempt to reschedule the Creator;
- Source a replacement Creator;
- Modify the campaign;
- Reallocate eligible campaign funds;
- Provide campaign credit; or
- Refund an eligible recoverable portion of the Creator fee.
The appropriate solution depends on the circumstances and applicable campaign terms.
25. Creator Non-Delivery
If a Creator fails to provide agreed deliverables without a valid reason, InfluencersPlace may attempt to resolve the issue through measures such as:
- Requesting completion;
- Requesting corrections;
- Extending the delivery period;
- Replacing the Creator;
- Recovering applicable Creator payments;
- Crediting eligible amounts;
- Refunding recoverable amounts relating to undelivered services.
InfluencersPlace does not guarantee recovery of payments that have lawfully become non-refundable or cannot reasonably be recovered from third parties.
26. Product Samples
Where a campaign requires a Brand to provide products, the Brand is responsible for supplying them within sufficient time for content creation.
The Brand should clearly specify whether the product is:
- A gift;
- Part of the Creator’s compensation;
- A sample;
- A temporary loan; or
- Required to be returned.
The Brand should also disclose any conditions relating to the product before campaign acceptance.
27. Product Shipping
Unless otherwise agreed, the Brand is responsible for:
- Product availability;
- Accurate shipping details;
- Packaging;
- Shipping costs;
- Customs or duties where applicable;
- Timely dispatch;
- Replacement of products damaged before Creator use.
Campaign timelines may be affected by shipping delays.
28. Content Creation
Creators generally retain reasonable creative discretion over how their content is presented, subject to the agreed campaign brief.
Brands may establish mandatory requirements concerning:
- Key information;
- Product representation;
- Brand terminology;
- Legal disclaimers;
- Advertising disclosures;
- Visual requirements;
- Prohibited claims;
- Calls to action.
Creative direction should be communicated before production whenever reasonably possible.
29. Content Approval
Where pre-publication approval is included in the campaign, the Brand must review submitted content within the agreed timeframe.
Brands should provide feedback that is:
- Clear;
- Consolidated;
- Relevant to the campaign brief; and
- Reasonably capable of implementation.
Delays in Brand approvals may cause campaign deadlines to move.
30. Content Revisions
The number of included revision rounds may be specified in the campaign agreement.
Reasonable corrections may include:
- Factual errors;
- Missing required information;
- Incorrect brand representation;
- Missing disclosure;
- Material deviations from the approved brief.
Requests for substantial creative changes that were not contained in the original brief may require additional Creator compensation or production fees.
31. Approval Does Not Transfer Liability
A Brand’s approval of Creator content does not automatically transfer ownership of Creator intellectual property unless usage rights have been expressly granted. However, these rights are also subject to change due to changes in our policies.
Similarly, InfluencersPlace’s review of content does not make InfluencersPlace responsible for the Brand’s product claims, instructions, or underlying commercial representations.
32. Advertising Disclosures
Brands acknowledge that sponsored Creator content may require clear advertising disclosure.
Depending on the jurisdiction, platform, and nature of the relationship, disclosures may include labels such as:
Ad, Advertisement, Sponsored, Collaboration, Partnership, Affiliate, Free Gift, or an applicable platform disclosure tool.
Brands must not instruct Creators to:
- Hide a commercial relationship;
- Remove a legally required disclosure;
- Use an intentionally unclear disclosure; or
- Present paid advertising as independent editorial opinion.
For campaigns directed at Indian audiences, Brands should comply with applicable advertising laws and relevant ASCI influencer advertising guidelines. Otherwise, you might attract penalizing actions.
33. Material Connections
A material connection may exist where a Creator receives a benefit or incentive in connection with promotional content.
This may include:
- Payment;
- Free products;
- Gifts;
- Discounts;
- Travel;
- Accommodation;
- Affiliate commission;
- Services;
- Event access;
- Other benefits.
Brands should accurately communicate such arrangements, so appropriate disclosures can be made.
34. Brand Responsibility for Advertising Compliance
The Brand remains responsible for ensuring that its
- Advertising claims
- Product information
- Offers
- Instructions
- Mandatory statements
- Promotional terms
- Campaign objectives, etc
comply with applicable law.
InfluencersPlace may provide operational guidance but does not replace the Brand’s legal or regulatory advisers. That is a crucial point of difference that all concerned are supposed to make well in advance.
35. Restricted or Regulated Categories
Campaigns involving regulated products or services may require additional review or restrictions. Depending on applicable law, this can include areas such as:
- Financial products
- Healthcare
- Medicines
- Supplements
- Gambling
- Alcohol
- Tobacco or nicotine
- Children’s products
- Political advertising
- Other regulated sectors
InfluencersPlace may refuse or restrict any campaign that creates unreasonable legal, regulatory, safety, reputational, or platform risk. Thus, while you are engaged in this aspect, make sure that you operate safely, without causing any hindrances.
36. Creator Independence
Creators engaged through InfluencersPlace generally act as independent contractors and not as employees of the Brand or InfluencersPlace. You are supposed to maintain and operate within the proper limits of this distinction.
Unless expressly agreed otherwise, a Brand does not control the Creator’s broader business activities. This rule isn’t just subject to this policy but others as well, provided on the same portal, inter alia.
37. Genuine Opinions and Testimonials
A Brand must not require a Creator to falsely state that:
- They used a product when they did not;
- They achieved a result they did not achieve;
- They hold an opinion they do not genuinely hold; or
- Their content is independent when it is sponsored.
Campaign instructions should allow Creators to provide truthful representations of their genuine experience where a testimonial or review is involved.
38. Campaign Performance
Influencer marketing performance may depend on factors beyond the control of InfluencersPlace and participating Creators.
These may include:
- Platform algorithms;
- Audience behavior;
- Market conditions;
- Brand reputation;
- Product demand;
- Campaign timing;
- Creative performance;
- Pricing;
- Website conversion;
- Competition;
- Advertising platform changes.
Unless specifically guaranteed in a signed agreement, InfluencersPlace does not guarantee a particular number of:
- Sales;
- Leads;
- Followers;
- Downloads;
- Views;
- Impressions;
- Reach;
- Engagements;
- Clicks;
- Conversions;
- Revenue; or
- Return on investment.
Forecasts, benchmarks, projections, and estimates should be treated as estimates rather than guaranteed outcomes.
39. Campaign Analytics
Where included in the scope, InfluencersPlace may provide or collect campaign analytics such as:
- Reach
- Impressions
- Views
- Likes
- Comments
- Shares
- Saves
- Clicks
- Watch time
- Audience demographics
- Conversions
Some analytics originate from Creators or third-party platforms.
InfluencersPlace will make reasonable efforts to obtain accurate reporting but cannot guarantee the continued availability or accuracy of third-party platform data.
40. Content Usage Rights
Brands may use Creator content only within the usage rights agreed for the relevant campaign.
Rights may include:
- Organic social reposting;
- Website use;
- Email marketing;
- E-commerce use;
- Advertising;
- Paid social media;
- Whitelisting;
- Creator licensing;
- Print;
- Out-of-home advertising;
- Other commercial uses.
The campaign agreement should specify relevant:
- Platforms;
- Territory;
- Duration;
- Media;
- Editing rights;
- Paid advertising rights;
- Exclusivity;
- Other limitations.
41. No Automatic Perpetual Rights
Payment for Creator content does not automatically provide the Brand with unlimited, worldwide, perpetual, or unrestricted intellectual property rights.
Any extended usage rights must be agreed with the Creator where applicable.
Additional Creator licensing fees may apply.
42. Paid Media and Whitelisting
Using Creator content in paid advertising, boosted posts, partnership ads, whitelisting, dark posts, or similar advertising may require separate authorization.
The Brand must not use a Creator’s:
- Identity;
- Social account;
- Name;
- Image;
- Likeness;
- Content
for paid media beyond the agreed rights.
43. Editing Creator Content
Brands must not materially edit Creator content in a way that:
- Misrepresents the Creator’s opinion;
- Creates a false endorsement;
- Introduces unauthorized claims;
- Damages the Creator’s reputation; or
- Exceeds agreed usage rights.
Reasonable resizing, formatting, subtitles, cropping, or technical modifications may be permitted where consistent with agreed rights.
44. Intellectual Property
Each party retains ownership of its pre-existing intellectual property.
Brand intellectual property may include:
- Trademarks;
- Logos;
- Product images;
- Advertising assets;
- Campaign materials;
- Written content;
- Other Brand-owned materials.
Creator intellectual property remains subject to the applicable Creator agreement and campaign usage rights.
45. Brand Assets
By providing logos, images, trademarks, video, music, copy, product material, or other Brand assets, the Brand confirms that it has sufficient rights to authorize their use in the campaign.
The Brand grants InfluencersPlace and participating Creators a limited right to use those assets solely as reasonably necessary to execute the campaign.
46. Third-Party Rights
The Brand must not provide copyrighted, trademarked, licensed, or other third-party materials without appropriate permission.
Where the Brand directs InfluencersPlace or a Creator to use third-party material, the Brand is responsible for ensuring the required rights have been obtained.
47. Content Live Period
The required period for sponsored content to remain publicly available should be specified in the campaign agreement.
If the Brand requires content to remain permanently available or live for an extended period, this requirement should be disclosed before Creator confirmation.
Creators may need to remove content where required by law, platform rules, or legitimate safety concerns.
48. Exclusivity
The Brand may request Creator exclusivity where agreed before campaign confirmation.
Exclusivity terms should reasonably specify:
- Restricted competitors;
- Product category;
- Duration;
- Territory;
- Platform;
- Other restrictions.
Broader or longer exclusivity may affect Creator pricing.
49. Non-Circumvention
InfluencersPlace invests resources in sourcing Creators, building commercial relationships, negotiating rates, and introducing Brands and Creators.
Where InfluencersPlace introduces a Brand to a Creator for a commercial opportunity, the Brand must not intentionally bypass InfluencersPlace for the purpose of avoiding agreed fees or commissions relating to substantially related opportunities.
Unless another period is agreed in writing, this restriction applies for 12 months from the relevant introduction.
This provision does not restrict a genuine commercial relationship that the Brand can reasonably demonstrate existed independently before the InfluencersPlace introduction. However, this is subject to proving the same with the help of proper evidence.
50. Direct Creator Communication
InfluencersPlace may permit Brands and Creators to communicate directly where useful for campaign execution.
Direct communication does not automatically terminate InfluencersPlace’s role.
Previously agreed
- Management fees
- Commissions
- Campaign fees
- Payment obligations
- Usage terms; and
- Other contractual obligations or other items as implicitly or explicitly stated
continue to apply.
51. Confidentiality
A Brand may receive confidential information about InfluencersPlace or Creators.
This may include:
- Creator contact details;
- Non-public rates;
- Campaign strategies;
- Commercial arrangements;
- Audience information;
- Negotiations;
- Business information;
- Platform information.
Confidential information must not be disclosed or used for purposes unrelated to the applicable relationship without authorization.
52. Creator Personal Information
Brands must handle Creator information obtained through InfluencersPlace responsibly and only for legitimate campaign-related purposes.
Creator information must not be:
- Sold;
- Scraped;
- Added to unrelated marketing databases;
- Shared unnecessarily;
- Used for spam;
- Used for unauthorized solicitation.
Applicable privacy and data protection requirements must be followed.
53. Professional Conduct
Brands and their representatives must communicate professionally with:
- Creators;
- InfluencersPlace staff;
- Agencies;
- Vendors;
- Other campaign participants.
InfluencersPlace may intervene where there is harassment, intimidation, discrimination, threats, fraud, abusive conduct, or other serious misconduct.
54. Creator Safety
Brands must not knowingly require Creators to participate in unsafe, unlawful, deceptive, or unreasonably hazardous activities.
Where a campaign involves:
- Travel;
- Physical activity;
- Events;
- Product testing;
- Location shoots;
- Specialized equipment
appropriate safety information should be provided.
55. Platform Rules
Campaigns must comply with applicable social media platform rules.
Platforms may include:
- YouTube
- TikTok
- X
- Snapchat
- Twitch
- Other digital platforms
InfluencersPlace is not responsible for platform enforcement actions arising from content or activity that violates applicable platform requirements.
56. Advertising Spend
Advertising or paid media expenditure already committed or spent is generally non-refundable.
Where InfluencersPlace manages paid amplification, the Brand remains responsible for:
- Approved advertising budget;
- Appropriate campaign assets;
- Accurate advertising claims;
- Required landing pages;
- Applicable advertising policies.
Unused funds will be handled according to the applicable campaign agreement and Refund & Cancellation Policy.
57. Third-Party Services
InfluencersPlace may use third-party services in connection with campaign execution, including:
- Payment processors;
- Advertising platforms;
- Analytics providers;
- Social networks;
- Software providers;
- Production vendors;
- Logistics providers.
InfluencersPlace is not responsible for third-party outages or failures that are outside its reasonable control.
58. Campaign Delays
Campaign timelines may change because of circumstances such as:
- Creator availability;
- Brand approval delays;
- Product delivery delays;
- Platform outages;
- Production issues;
- Force majeure;
- Required revisions;
- Regulatory concerns.
Where possible, InfluencersPlace will work with the Brand and Creator to establish a reasonable revised timeline.
59. Brand Approval Delays
Where Brand approval is required, the Brand should respond within the agreed review period.
If delayed approval affects:
- Creator availability;
- Posting schedules;
- Campaign relevance;
- Production;
- Event dates
InfluencersPlace may revise the campaign timeline.
Costs caused by substantial Brand-requested delays may be chargeable where appropriate and previously disclosed.
60. Chargebacks and Payment Disputes
Brands should contact InfluencersPlace before initiating a chargeback so that the matter can be investigated.
A chargeback does not automatically cancel contractual obligations for services already delivered or expenses already committed.
InfluencersPlace may provide relevant:
- Contracts;
- Campaign approvals;
- Correspondence;
- Deliverables;
- Payment records;
- Creator confirmations;
- Other evidence
to a payment provider where necessary to respond to a payment dispute.
Nothing in this section removes rights that cannot legally be waived.
61. Suspension or Termination of Brand Access
InfluencersPlace may suspend or terminate Brand access where there is reasonable evidence of:
- Fraud;
- Repeated non-payment;
- False business information;
- Abuse or harassment;
- Illegal campaigns;
- Repeated intellectual property violations;
- Attempts to manipulate Creators;
- Material breach of these Brand Terms;
- Deliberate circumvention of InfluencersPlace;
- Serious advertising compliance concerns.
Where appropriate, InfluencersPlace may provide an opportunity to resolve the issue before termination.
62. Brand-Initiated Account Closure
Brands may request closure of their account.
Account closure does not automatically cancel:
- Active campaigns;
- Outstanding invoices;
- Creator compensation;
- Agreed usage rights;
- Confidentiality obligations;
- Existing disputes;
- Other obligations intended to survive termination.
63. No Employment or Partnership
Nothing in these Brand Terms creates an employment, partnership, franchise, or joint venture relationship between the Brand and InfluencersPlace.
InfluencersPlace provides services as an independent business.
Creators generally operate as independent contractors unless separately agreed otherwise.
64. No Authority to Bind the Brand
InfluencersPlace will not enter into commitments on behalf of the Brand outside the authority granted through an applicable campaign agreement.
Similarly, the Brand must not represent that it has authority to bind InfluencersPlace to obligations that have not been agreed.
65. Brand Warranties
The Brand represents that:
- It has authority to enter into the agreement;
- Its supplied information is materially accurate;
- Its products and services may lawfully be promoted;
- It owns or controls necessary rights to supplied assets;
- Its campaign instructions do not intentionally require unlawful content;
- It will meet agreed payment obligations.
66. Indemnification
To the extent permitted by applicable law, the Brand may be responsible for claims or losses arising from the Brand’s:
- Unlawful product or service;
- False or misleading product claims;
- Unauthorized intellectual property;
- Material breach of confidentiality;
- Instructions requiring unlawful advertising;
- Fraud or intentional misrepresentation;
- Material breach of these Brand Terms.
Any indemnification obligation should be interpreted reasonably and according to applicable law.
67. Limitation of Liability
To the extent permitted by applicable law, InfluencersPlace will not be responsible for indirect, incidental, special, or consequential loss arising solely from circumstances outside its reasonable control.
This may include loss resulting from:
- Platform algorithm changes;
- Social platform outages;
- Audience behavior;
- Third-party service failure;
- Creator illness or emergencies;
- Market conditions;
- Force majeure.
Nothing in these Brand Terms excludes liability that cannot legally be excluded.
68. Force Majeure
Neither party will be responsible for failure or delay caused by circumstances reasonably beyond its control.
Examples may include:
- Natural disasters;
- War;
- Civil disturbance;
- Government restrictions;
- Public health emergencies;
- Major internet outages;
- Social platform outages;
- Severe transportation disruption;
- Other comparable events.
The affected parties should cooperate reasonably to reschedule, modify, or resolve impacted campaign obligations.
69. Complaints and Disputes
Brands should first contact InfluencersPlace regarding disputes involving:
- Campaign performance;
- Creator deliverables;
- Payments;
- Content approvals;
- Usage rights;
- Refunds;
- Campaign management.
Please provide relevant information such as:
- Brand name;
- Campaign name;
- Creator name;
- Invoice or transaction number;
- Campaign brief;
- Relevant correspondence;
- Description of the dispute.
InfluencersPlace will review the issue using available campaign records and applicable agreements.
70. Refunds
Refund eligibility is governed by the InfluencersPlace Refund & Cancellation Policy.
A request for a refund does not automatically entitle the Brand to a refund.
The amount eligible for refund, if any, may depend on:
- Work completed;
- Creator commitments;
- Funds already paid;
- Advertising spend;
- Third-party expenses;
- Campaign stage;
- Recoverable amounts;
- Applicable contractual terms.
71. Governing Law
These Brand Terms are governed by the laws of India.
72. Jurisdiction
Subject to applicable law and mandatory statutory rights, disputes arising from these Brand Terms will be subject to the jurisdiction of the competent courts at Gurugram, Haryana, India.
73. Changes to These Brand Terms
InfluencersPlace may update these Brand Terms to reflect changes in:
- Services;
- Platform functionality;
- Payment systems;
- Campaign procedures;
- Advertising standards;
- Applicable legal requirements.
Material changes will generally apply prospectively unless an immediate update is required by law, fraud prevention, security, or regulatory requirements.
The latest version will display its current effective or updated date.
74. Severability
If any provision of these Brand Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
75. No Waiver
Failure by InfluencersPlace to immediately enforce a provision of these Brand Terms does not automatically constitute a permanent waiver of that provision.
76. Entire Agreement
These Brand Terms, together with the applicable:
- Campaign brief;
- Proposal;
- Quotation;
- Statement of work;
- Terms and Conditions;
- Privacy Policy;
- Refund & Cancellation Policy; and
- Other written campaign agreement
constitute the applicable agreement between InfluencersPlace and the Brand concerning the relevant services.
Where a campaign-specific signed agreement expressly conflicts with these general Brand Terms, the campaign-specific agreement will control for that campaign to the extent of the conflict.
